Please read these terms and conditions carefully as they contain important information about your rights and obligations when using this website (Coursevine.org) and in particular clause 10.3.

Throughout this agreement:

“Client”, “Merchant”, “You” and “Your” refers to you, the person availing of our services.

“The Company”, “Ourselves”, “We” and “Us”, refers to Coursevine Ltd.

“The Website” and “Website” refers to Coursevine.org

“Party”, “Parties”, or “Us”, refers to the Client and Coursevine Ltd, or either the Client or Coursevine Ltd.

All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services and products, in accordance with and subject to, prevailing English Law. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to same.

Scope of services

Coursevine Limited work with course providers to supply low-cost courses to the general public. Partners can be other training organizations and freelancers that train in their specific field of expertise. All courses are to be marketed via our website www.coursevine.org.

By browsing on or using the Website you are agreeing to comply with and be bound by these terms and conditions which, together with our privacy policy, governs our relationship with you regarding the use of our Website.

1.ACCESS

1.1.You will be able to access parts of the Website without having to register any details with us. However, from time to time certain areas of this Coursevine.org may be accessible only if you are a registered user.

1.2.You are responsible for making all arrangements necessary for you to have access to our Website. You are also responsible for ensuring that all persons who access our Website through your internet connection are aware of these terms, and that they comply with them.

1.3.We make reasonable efforts to ensure that this Website is available to view and use 24 hours a day throughout each year however, this is not guaranteed. The Website may be temporarily unavailable at anytime because of: server or systems failure or other technical issues; reasons that are beyond our control; required updating, maintenance or repair

1.4.Where possible we will try to give you advance warning of maintenance issues but shall not be obliged to do so.

    10.LIMITATION OF LIABILITY AND INDEMNITY

10.1.Notwithstanding any other provision in these terms and conditions, nothing will affect or limit your statutory rights; or will exclude or limit our liability for:

10.1.1.Death or personal injury resulting from our negligence

10.1.2.Fraud or fraudulent misrepresentation

10.1.3.Action pursuant to section 2(3) of the Consumer Protection Act 1987

10.1.4.Any matter for which it would be unlawful for us to exclude or attempt to exclude our liability

10.2.We will not be liable, in contract or tort (including, without limitation, negligence), or in respect of pre-contract or other representations (other than fraudulent or negligent misrepresentations) or otherwise for the below mentioned losses which you have suffered or incurred arising out of or in connection with the provision of any matter in these terms and conditions even if such losses are forseeable or result from a deliberate breach by us or as a result of any action we have taken in response to your breach:

10.2.1.Any economic losses (including without limitation loss of revenues, profits, contracts, business or anticipated savings)

You agree to fully indemnify, defend and hold us, and our officers, directors, employees and suppliers, harmless immediately on demand, from and against all claims, including but not limited to losses (including loss of profit, revenue, goodwill or reputation), costs and expenses, including reasonable administrative and legal costs, arising out of any breach of these terms and conditions by you, or any other liabilities arising out of your use of this Website or any other person accessing the Website using your personal information with your authority.

10.4.This clause does not affect your statutory rights as a consumer.

    11.GENERAL

11.1.We reserve the right to change the domain address of this Website and any services, products, product prices, product specifications and availability at any time.

11.2.If any provision of these terms and conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions in these terms and conditions and the remainder of the provision in question will not be affected.

11.3.All contracts are concluded and available in English only.

11.4.If we fail, at any time to insist upon strict performance of any of your obligations under these terms and conditions, or if we fail to exercise any of the rights or remedies to which we are entitled under these terms and conditions, it shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with your obligations.

    12.GOVERNING LAW AND JURISDICTION

12.1.The Website is controlled and operated in the United Kingdom.

12.2.These terms and conditions will be governed by the laws of England and Wales and you irrevocably agree to submit to the exclusive jurisdiction of the courts of England and Wales.

13.1 The contract’s content will be stored. You may store the terms and readily look them up. For safety reasons your order’s data are not available via internet. We keep these data in confidence according to our privacy policy.

 

Business-to-Business Terms and Conditions of Use

THIS IS A LEGAL AGREEMENT BETWEEN Coursevine Ltd and You. 

These terms and conditions form part of the Agreement between the Client and Coursevine Limited. Using or our services and buying a course indicates your understanding, agreement to and acceptance of the full Terms and Conditions contained herein.

“Party”, “Parties”, or “Us”, refers to the Client and Coursevine Ltd, or either the Client or Coursevine Ltd.

Scope of services

We work with course providers to supply low-cost courses to the general public. Partners can be other training organizations and freelancers that train in their specific field of expertise. All courses are to be marketed via our website www.coursevine.org.

Coursevine’s responsibilities

When acceptable courses are listed on Coursevine.org, subscribers or client shall have the opportunity to purchase the course on the website. The partner whose course has been bought shall then be notified, such notification being at least 48 hours before the start of the course. Coursevine Ltd will accept direct payment from the delegate via Coursevine.org. The partner shall receive payments before the course starts. The Company charges a commission depending on the discount offered by the Client. Our commission structure:

  • Up to 50% off your course = we take 20% commission
  • Up to 70% off your course = we take 15% commission
  • Up to 100% off your course= we take 10% commission

This commission will be deducted before payment is made to the merchant.

Client’s responsibilities

The client shall not do anything that will discredit or damage the Coursevine’s reputation including, but not limited to:

  1. The listing of courses contrary to public policy
  2. The posting or emailing messages or content that are inappropriate, unlawful, threatening, obscene, vulgar, pornographic, profane, indecent, defamatory, libellous, abusive, or a violation of the legal rights (including without limitation privacy and publicity)
    of others
  3. The publishing of misleading and offensive materials
  4. The use of phishing or other scamming tactics

Confidentiality

All the provisions of the Data Protection Act 1998 shall apply and as such, any information concerning the Client and their respective Client Records may be passed to third parties. However, Client Records are regarded as confidential and therefore will not be divulged to any third party, other than our employees and contractors (on a need to know basis) and if legally required to do so, to the appropriate authorities. Clients have the right to request sight of, and copies of any and all Client Records we keep, on the proviso that we are given reasonable notice of such a request. Clients are requested to retain copies of any literature issued in relation to the provision of our services. Where appropriate, we shall issue Client’s with appropriate written information, handouts or copies of records as part of an agreed contract, for the benefit of both parties.

In regards to special offers, the recipient of the offer will be notified of the full details of the free course following purchase of the deal. The merchant details will not always be disclosed on the website and the recipient shall be notified of this via email.

Payment

Both account registration and normal course listing are free.

All payment are processed by Visa and/or PayPal

We currently accept all payments via PayPal.

Cancellation Policy and Refunds Policy

Due to the nature of our business, no refunds will be accepted via Coursevine and can only be processed at the discretion of the Merchant providing they have already accepted payment for the course. No refunds shall be offered where a Service is deemed to have begun and is, for all intents and purposes, underway.

Third Party Rights

This Agreement is made for the benefit of all parties, and is not intended to benefit any third party or be enforceable by any third party. The right of the parties to terminate, rescind, or agree any amendment, waiver, variation or settlement under or relating to this Agreement is not subject to the consent of any third party.

Copyright Statement
Copyright and other relevant intellectual property rights exists on all text relating to the Company’s services and the full content of our website.

All material in the courses is, unless otherwise stated, the property of the course owner or partner. Copyright and other intellectual property laws protect these materials. Reproduction or retransmission of the materials, in whole or in part, in any manner, without the prior written consent of the copyright holder, is a violation of copyright law.

A single copy of the materials available through this course may be made, solely for personal, non-commercial use. Individuals must preserve any copyright or other notices contained in or associated with them. Users may not distribute such copies to others, whether or not in electronic form, whether or not for a charge or other consideration, without prior written consent of the copyright holder of the materials.

Limitation of Liability

IN NO EVENT WILL COMPANY BE LIABLE TO YOU FOR ANY LOST PROFITS, LOST SAVINGS OR INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, ARISING OUT OF YOUR USE OR INABILITY TO USE THE PRODUCT OR THE BREACH OF THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Force Majeure

Neither party shall be liable to the other for any failure to perform any obligation under any Agreement which is due to an event beyond the control of such party including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, earthquake, flood or any other natural or manmade eventuality outside of our control, which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen. Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavours to comply with the terms and conditions of any Agreement contained herein.

Waiver

Failure of either Party to insist upon strict performance of any provision of this or any Agreement or the failure of either Party to exercise any right or remedy to which it, s/he or they are entitled hereunder shall not constitute a waiver thereof and shall not cause a diminution of the obligations under this or any Agreement. No waiver of any of the provisions of this or any Agreement shall be effective unless it is expressly stated to be such and signed by both Parties.

Termination

Either party may terminate this contract by written notice to the other at any time if either party:

(a) Commits a breach of this contract and, in the case of a breach capable of remedy, he fails to remedy the breach within 14 days of being required to do so in writing; or
(b) Becomes incapable to follow a course in which case a 48 hours notice is required.

General

The laws of England and Wales govern these terms and conditions. By using our services and buying courses you consent to these terms and conditions and to the exclusive jurisdiction of the English courts in all disputes arising out of such access. If any of these terms are deemed invalid or unenforceable for any reason (including, but not limited to the exclusions and limitations set out above), then the invalid or unenforceable provision will be severed from these terms and the remaining terms will continue to apply. Failure of the Company to enforce any of the provisions set out in these Terms and Conditions and any Agreement, or failure to exercise any option to terminate, shall not be construed as waiver of such provisions and shall not affect the validity of these Terms and Conditions or of any Agreement or any part thereof, or the right thereafter to enforce each and every provision. These Terms and Conditions shall not be amended, modified, varied or supplemented except in writing and signed by duly authorised representatives of the Company.
